Vadim advises clients operating in the private wealth sector, including family offices, investment funds and asset managers, on UK and cross-border tax matters. He has a particular focus on strategic and operational tax issues affecting the sector, including the structuring of investment platforms and carried interest arrangements.
In addition, Vadim advises corporate clients on the tax aspects of mergers and acquisitions, joint ventures, restructurings, finance and other corporate transactions, working with clients from innovative start-ups to large multinational groups in the UK and internationally.
Vadim has extensive experience working at leading international law firms as well as at a single family office. He holds a Master’s degree in Taxation from the University of London, and is an International Tax Affiliate of the Chartered Institute of Taxation (CIoT), an affiliate member of the Society of Trust and Estate Practitioners (STEP) and an associate member of the Chartered Institute for Securities and Investment (CISI).
Vadim is admitted to practise in England and Wales and in New York State.
Experience
- Advised family-owned groups on the establishment of holding and trading company structures, as well as venture capital and private equity funds (including evergreen and corporate funds).
- Advised a family-owned asset management firm on restructuring its holding structure, including the transfer of assets to a new investment holding entity and advising on carried interest arrangements for UK executives.
- Assisted investment managers on the establishment of new and continuation funds, including those investing in European real estate, alternative (including crypto) and sustainable assets.
- Advised a start-up mobile games developer on reviewing and restructuring its corporate and ownership structures, including advising the individual founders on asset protection and establishing an advisory committee.
- Advised and led negotiations on the tax aspects of M&A transactions across the UK, Europe, the US and Asia, and advised on general UK corporate tax matters (including establishing UK businesses and structuring returns of value to shareholders).
