Tess is a UK corporate tax lawyer whose practice spans both transactional and advisory work for a broad range of clients, including family-owned and owner-managed businesses, private individuals, high-growth companies, and larger domestic and international corporate groups.

She advises on the full lifecycle of corporate transactions from a tax perspective, with experience advising on share and asset acquisitions, group reorganisations and reconstructions, and private equity and venture capital investments.

In her advisory practice she assists clients with a wide variety of corporate tax matters, including direct tax, VAT, and property tax. Tess has a particular expertise in advising on complex employment tax issues, including those with cross-border aspects. 

Part of her practice focuses on incentives. Tess advises both private and listed companies on the design and implementation of new incentive arrangements—covering equity and non-equity awards – and prepares the full suite of scheme documentation. She also guides clients through the tax treatment of incentives in the context of liquidity events, including M&A transactions and IPOs, drawing on her wider corporate tax expertise and deal experience.

Tess regularly advises high net worth employees and internationally mobile executives on the UK tax treatment of a wide range of incentive awards, helping clients to navigate what can be a particularly complex area of UK tax law.
