About

Sona is a paralegal, working within the litigation team and assisting in providing legal services to clients in the Middle East offices. She deals with multiple areas of dispute resolution, including commercial, corporate, civil, banking, and criminal matters. She assists in providing advisory services, drafting legal documents, articles and expert reports, conducting legal research, assisting in compliance procedures, as well as providing support in litigation cases. 

Sona also has previous experience in the UAE commercial sector, specifically in corporate consultancy, M&A transactions, mainland and free zone company formations and compliance procedures for commercial entities and financial institutions. She has experience within the UAE civil, ADGM and DIFC jurisdictions. Sona is fluent in English, Russian and Armenian.

Experience

  • Assisting in drafting legal analyses and expert reports on matters of UAE law in various areas, including the appropriate methods of service for foreign proceedings, matters of governing law and jurisdiction, contractual interpretation, as well as the application of legislation such as the UAE Civil Code, the UAE Civil Procedures Law, the Federal Evidence Law.
  • Drafting a range of legal documents, including Shareholder Agreements, Convertible Loan Agreements, NCNDA's, Employment Contracts, S&P Agreements, Board Resolutions, Shareholder Resolutions, Novation Agreements, Project Management Agreements, Share Purchase Agreements, Lease Agreements, Agency Agreements, Addendums, POA's.
  • Conducting legal research and assisting in the composition of legal pieces and articles for publication in relation to several areas of UAE law, including the enforcement of foreign judgements, extradition proceedings, the law on bribery and corruption, double tax treaties and taxation laws in the UAE, interpretations of the civil code.
  • Advising on the establishment of various legal entities, including limited companies, free-zone enterprises, sole establishments, holding firms, Special Purpose Vehicles, foundations, single-family offices, multi-family offices, financial institutions, trusts.
  • Supporting on advisory services in relation to​​ M&A deals, ​permissions for regulated corporate activities and the re-domiciliation of foreign corporations, holding entities, trusts and their continuance into the UAE jurisdiction.
  • Conducting AML/CFT compliance procedures for financial institutions, corporate investment accounts and entity-incorporations.
