About

Nadim's practice is centred on advising founders and management teams on sponsor-backed transactions, exits, recapitalisations and equity incentive arrangements. A core differentiator of his practice is his independence. Having pivoted away from advising institutional private equity sponsors many years ago, Nadim is able to provide founders and management teams with fully independent, conflict-free advice.

Alongside his founder and management practice, Nadim advises alternative investors of private capital (including entrepreneurial investment platforms, family offices and private holding companies) seeking opportunities to back talented and well-invested founder-owners, entrepreneurs and management teams through "partnership-style" transactions.

His experience across both management-side transactions and alternative private capital investments gives him a distinctive perspective on deal structuring, governance, incentives and value creation across the full investment lifecycle.

Nadim advises on UK and cross-border transactions with particular experience in the business services, technology, and consumer sectors.

  • Advising the management team of Unity Advisory on their equity arrangements with Warburg Pincus.
  • Advising the founders and management of E2S Group on the sale to Halma plc.
  • Advising the management team of RED Driver Training on the tertiary management buyout backed by Trimountain Partners and Westbrooke.
  • Advising the management team of Corndel on the primary buyout backed by THI and the subsequent sale to Galileo.
  • Advising the management team of Care UK on the exit by Bridgepoint.
  • Advising the management teams of TrustedHousesitters, Seraphine and Fox International on their respective buyouts backed by Mayfair Equity Partners.
  • Advising the founder of Direct Ferries on the primary buyout backed by Livingbridge and the secondary backed by ICG.
  • Advising Trimountain Partners on its investment into ABCA and the establishment of its continuation vehicle, including associated acquisition financing and bolt-on acquisitions.
  • Advising Trimountain Partners on its investment into Horizon Parking alongside Westbrooke.
