Charles Russell Speechlys advises 1Spatial plc on strategic acquisition of GEOMAP-IMAGIS and partnership with Esri
Our multidisciplinary TMT team have advised AIM listed client, 1Spatial plc, on the acquisition of French geospatial software solutions provider GEOMAP-IMAGIS. In conjunction with the acquisition, 1Spatial Europe has entered into a new partnership agreement with Esri, the global market leader in geographic information system (GIS) software, location intelligence, and mapping. We advised on the acquisition (led by our Paris office, with support from our London office), the company’s placing to raise £3.1million, and on the new partnership agreement with Esri.
As an Esri Gold Partner, GEOMAP-IMAGIS focusses on the key markets of Transportation, Government, Utilities (including telecommunications) and Facilities Management. The company provides solutions which include ready to market business applications which are Esri platform compliant but also interoperable with other software such as CAD and BIM.
Claire Milverton, CEO of 1Spatial, commented: "We are delighted to announce this new partnership with our global partner Esri and the acquisition of GEOMAP-IMAGIS. The deal is immediately earnings enhancing and will significantly strengthen our customer proposition and align our French and Belgian businesses with the strategy of the wider Group as a solution provider with a focus on industry aligned business applications and Location Master Data Management. Once again we were grateful to have the hands-on, practical support provided by Mark Howard, Megan Paul and the rest of the Charles Russell Speechlys team throughout the transaction process.”
Mark Howard, Corporate partner, and Joint Head of TMT commented “It was a pleasure to advise Claire and the 1Spatial team on this strategic acquisition and the new partnership with Esri. We were able to field a multi-disciplinary team from our London and Paris offices made up of M&A, ECM and Commercial specialists with industry sector expertise, providing a fully collaborative service to meet 1Spatial’s needs. 1Spatial will be able to leverage the strategic synergies that this new acquisition brings, with its existing European customers benefitting from access to Esri's market leading global GIS platform. We look forward to seeing the company continue on its growth journey.”
