Charles Russell Speechlys advised Warwick on its approximately $158 million sale to Assured Guaranty Ltd

min read

Charles Russell Speechlys has advised Warwick Company (UK) Limited (now called Assured Life Limited), the UK holding company of Warwick Re Limited (Warwick Re), a Bermuda-based life and annuity reinsurer, on the sale of its group to Assured Guaranty Ltd., the leading financial guarantor.

Warwick Re has been renamed Assured Life Reinsurance Ltd. (Assured Life Re), which will focus on reinsuring fixed-term and pension risk transfer annuities, leveraging Assured Guaranty’s established expertise in life reinsurance and its asset management capabilities. Assured Guaranty’s aim is that Assured Life Re’s obligations to the ceding life and annuity insurers will be covered by a guaranty issued by Assured Guaranty Re Overseas Ltd., its AA-rated affiliate, an innovation that will enable it to stand out from other life and annuity reinsurers.

Charlie Ring, Corporate Partner, commented:

We are thrilled to have advised Warwick Re on this significant transaction and to contribute to a milestone event in their growth journey. Guiding clients through complex acquisitions such as this is central to our practice, and we take great pride in applying our deep sector knowledge to deliver successful outcomes.”

The team was led by Corporate Partner Charlie Ring with support from Senior Associate Mike Barrington. The wider deal team included corporate associate Charlotte Yam and Tax Partner Robert Birchall.
