Charlie Ring and Mike Barrington write for Professional Adviser on how best to prepare for the sale of a financial services business

min read

Sustained deal activity across the financial services sector continues to be driven by consolidation, with private capital, banks and family offices maintaining strong interest in acquisitions. Market data indicates that transaction values have risen sharply in recent years, reflecting both increased competition for quality assets and the strategic importance of scale, growth and diversification.

Effective preparation is positioned as a key differentiator in achieving a successful outcome. A clear understanding of business performance, growth drivers and operational resilience is essential, as buyers are increasingly selective and focused on long-term value. Ensuring robust financial information, strong governance and a well-defined strategic narrative can help build confidence and support valuation expectations.

Early planning, including appointing advisers and addressing potential risks before entering a sale process, can make a difference during the sale process. Businesses that can demonstrate stable revenues, scalable operations and strong client relationships are typically more attractive to prospective buyers, while those that are unprepared may face delays, price adjustments or failed transactions.

Ultimately, aligning internal readiness with external market conditions is critical. Sellers who approach a transaction proactively rather than reactively are better positioned to navigate due diligence, manage stakeholder expectations and deliver a smoother, more efficient process.

Charlie Ring, Partner and Mike Barrington, Senior Associate in our Corporate team, write in Professional Adviser:

As financial services M&A continues to gather pace, the opportunities for sellers are clear. But so are the challenges and potential hurdles. The main takeaway from all of this is that readiness is just as important as timing. We find that, almost without fail, the best‑prepared businesses are the ones that are able to convert momentum into a successful deal. For sellers, starting early is often the single best decision they make.
