  • Automated and manual compliance checks now apply at filing and throughout the data lifecycle
  • Progressive sanctions for non-compliance range from public warnings to daily penalties of €40 (capped at €3,600) and potential deregistration

  • Entities should review their RCS and RBE filings to ensure current compliance

On 28 January 2026, the Luxembourg Ministry of Justice announced significant regulatory developments concerning the Luxembourg Business Registers (LBR).

Overview

The LBR has implemented enhanced monitoring and control mechanisms for data registered with the Trade and Companies Register (RCS) and the Register of Beneficial Owners (RBE). Automated and manual checks now apply both at the time of filing and throughout the data lifecycle. Entities with incomplete, outdated or inconsistent records will be contacted to remedy any deficiencies.

Sanctions for Non-Compliance

Failure to regularise within the prescribed timeframes triggers progressive sanctions:

30 daysPublic warning on the LBR website
60 daysDeficiencies noted on officialextracts and certificates
7 monthsDaily penalty of €40 (capped at €3,600)
12 monthsAutomatic deregistration
Last resortReferral to the public prosecutor

Late fees also apply: €50 (up to 1 month delay), €200 (up to 4 months), and €500 (beyond 4 months).

Action Points

Entities registered with the RCS and RBE should:

  • Review current filings to ensure completeness and accuracy of all registered information
  • Verify that beneficial ownership data is up to date and compliant with disclosure requirements
  • Implement internal processes to monitor compliance with filing deadlines and data updates
  • Respond promptly to any communications received from the LBR regarding deficiencies
