Senior Associate - Banking and Finance
The Office
Our Luxembourg office advises middle market and large corporate clients operating internationally, investment funds, private equity houses, large family offices, banks and other financial institutions. The office has built a strong reputation in corporate M&A and restructuring, investment management, finance, and tax planning aspects of international holding and financing structures.
Our Banking & Finance practice advises on a broad range of domestic and cross-border financing transactions, including structured finance and securitisations, debt financing, secured and unsecured lending, and non-contentious insolvency, restructuring and refinancing matters.
We have an attractive opportunity for an experienced Legal Associate/Lawyer to join our Banking & Finance practice in Luxembourg. The role will involve advising banks, non-bank lenders, institutional investors, corporate borrowers, hedge funds and investment funds on a varied range of Luxembourg and cross-border financing matters, while working closely with colleagues across the Firm’s Corporate, Investment Funds, Tax and Restructuring teams.
Role and Responsibilities
· Advising on domestic and cross-border financing transactions, including secured and unsecured lending, acquisition finance, leveraged finance, asset finance, project finance, liquidity finance and debt issuances.
· Acting for lenders, obligors, banks, non-bank lenders, institutional investors, corporate borrowers, hedge funds and investment funds on Luxembourg and international financing structures.
· Advising on structured finance, securitisation transactions and related Luxembourg security arrangements.
· Supporting major financial institutions and other clients on finance documentation, including ISDA/FBF arrangements where relevant.
· Advising debtors and creditors on the non-contentious aspects of international insolvency, restructuring and refinancing matters.
· Drafting, reviewing and negotiating finance documents, security documents, corporate authorisations and ancillary transaction documents.
· Managing transaction workstreams, coordinating signing and completion processes, and liaising directly with clients, counterparties and advisers.
· Working closely with colleagues across other practice areas and international offices of the Firm, particularly on acquisition finance, fund finance, corporate finance and restructuring matters.
· Taking day-to-day responsibility for matters with an appropriate level of autonomy, while knowing when to escalate or seek input from partners.
· Supporting the development of junior lawyers by providing day-to-day guidance, supervision and constructive feedback.
· Contributing to the growth of the Banking & Finance practice through client relationship management, business development initiatives and knowledge sharing.
Person Specification
· You hold a law degree at Master’s level or equivalent; an additional specialisation in banking, finance, restructuring or capital markets law would be an asset.
· You are a qualified lawyer, admitted to practice in Luxembourg or eligible to practise in Luxembourg.
· You have strong relevant experience in banking and finance, ideally gained within a law firm in Luxembourg or another international financial centre.
· You have experience advising on secured lending, acquisition finance, leveraged finance, structured finance, securitisation, debt financing and/or restructuring matters.
· You are technically strong, curious and able to handle complex financing matters with rigour, sound judgement and attention to detail.
· You have strong drafting and negotiation skills, with experience preparing and reviewing finance, security and ancillary transaction documents.
· You are highly organised, responsive and reliable, with the ability to manage multiple workstreams, competing deadlines and transaction priorities.
· You are confident managing matters with a high degree of autonomy, while remaining collaborative and open to partner input where appropriate.
· You are pragmatic, commercial and solution-oriented, with a strong client-facing manner and the ability to build trusted relationships.
· You are a team player, comfortable working collaboratively, taking ownership of your work and helping to supervise more junior team members.
· You are fluent in English and French; additional languages are an advantage.
