Corporate and Capital Markets Associate

The Office

Our Luxembourg office concentrates on middle market and large corporate clients operating internationally, investment funds, private equity houses, large family offices, banks and other financial institutions, and specializes in tax planning, mergers and acquisitions and corporate finance.

We have built our reputation on a strong practice in corporate M&A and restructuring, investment management, finance, and tax planning aspects of international holding and financing structures.  Our growing Luxembourg office and our local tax practice are recognised in leading legal directories.

We have an attractive opportunity for an experienced associate to join our Corporate & Capital Markets practice, with a strong focus on corporate and M&A matters.

Role and Responsibilities

·                Advising on equity and debt capital markets transactions, including private debt and securitisation structures.

·                Acting on corporate matters, including mergers and acquisitions, corporate (re)structurings, (re)financings, and distressed or insolvent situations.

·                Advising on joint ventures, management incentive plans, corporate governance and shareholders’ activism.

·                Supporting private equity and venture capital transactions, from formation and investment through to exit.

·                Working closely with colleagues across other practice areas and international offices of the Firm.

·                Managing workstreams and taking responsibility for matters with an appropriate level of autonomy, while maintaining regular direct contact with clients and their advisers.

·                Supporting the development of junior lawyers by providing day-to-day guidance, supervision and constructive feedback.

Person Specification

·                You hold a law degree (Master’s level or equivalent); additional specialisation in corporate, finance or capital markets law is an asset.

·                You have 4 to 6 years’ relevant experience, with a solid background in corporate and M&A matters, ideally gained within a law firm in Luxembourg or another international financial centre.

·                You are technically strong, curious and able to handle complex corporate matters with rigour, sound judgement and attention to detail.

·                You are highly organised, responsive and reliable, with the ability to manage multiple workstreams and deadlines.

·                You are adaptable, pragmatic and solution-oriented in a fast-moving environment.

·                You are a team player, comfortable working collaboratively, taking ownership of your work and helping to supervise more junior team members.

·                You are fluent in English and French; additional languages are an advantage.
