Associate (2-3 PQE) – Corporate

We have a fantastic opportunity for an Associate (2-3 PQE) to join our Guildford team. The role will provide key support within the team on a variety of corporate transactions, including private M&A, private equity and other third party investment (including private office, venture capital and angel investments) into private companies and joint ventures.

The role will suit someone who has excellent people skills and who is looking to develop their career within a friendly collegiate team that is widely recognised for its expertise in this area.

The individual will have experience and interest in handling work for a mixture of clients. 

This is an exciting role for an ambitious lawyer with the personality and drive to commit themselves to first rate client service and to making a contribution towards the achievement of the Corporate’s ambitious business plans.

Role and Responsibilities (this is a broad but not exhaustive list)

  • deliver highly efficient, professional and creative service to the existing clients of the department
  • drafting and, as appropriate, negotiating related transaction documents
  • assisting with disclosure and due diligence processes by co-ordinating the due diligence team across the firm, reviewing corporate and commercial documents, compiling relevant reports and identifying the key issues (whether corporate or otherwise) including liaising with and managing international legal counsel where appropriate
  • advising (managing and leading) on the key transaction documentation for asset and share sale and purchase agreements for transactions of varying deal value
  • undertaking corporate reorganisations and restructuring work and putting in place documentation to reflect a range of business ownership structures, such as shareholders' agreements, LLP members' agreements and partnership agreements
  • assisting on investment advisory mandates, negotiating shareholder agreements, share rights agreements, co-investment agreements, drafting and negotiating constitutional documents and ancillary related documentation
  • assisting with advising on private equity transactions and management buyouts including preparing investment agreements, articles of association with multiple share classes/rights and waterfall structures or advising management teams on rollover equity and sweet equity incentives
  • assisting with advising on seed capital, early stage and Series A investments including advising founders, investee companies or investors on investment structures, investment documentation including founder protection, investment protection and leaver provisions
  • delivering advice to clients on general corporate issues, company law and company secretarial matters and the Takeover Code, Listing Rules and AIM Rules
  • drafting, reviewing and advising upon commercial contracts including distribution and agency agreements and standard terms of business
  • build rapport with clients and develop an effective working relationship ensuring the retention of clients allocated to them
  • proactively seek to work with other Group members in the marketing of the firm’s services and the expansion of the Corporate and Commercial’s business of the firm
  • assist when requested with the cover of the cases of other Group fee earners during holidays or their absences abroad on business
  • demonstrate good judgement and a good legal and commercial understanding of clients’ particular needs
  • understand scope of task, manage time effectively and perform well under time and work pressure

Person specification

  • Be an England and Wales qualified solicitor between 2 and 3 PQE or equivalent
  • Excellent technical expertise and ability to not only research and advise on the law but also to apply that advice to the commercial needs of the client
  • Excellent communication skills, both oral and written
  • Ability to be proactive and keen to take responsibility
  • Commercial awareness, financial acumen and business-like approach to both legal practice and business development
  • Enthusiasm, commitment and a flexible approach
  • Good team working and interpersonal skills
