About

Charlotte has worked in each of the Dubai and UK markets for a number years and has significant experience in a wide range of sectors, including private wealth, education, energy, healthcare, technology, retail and consumer goods.

Charlotte’s focus is business, she specialises in M&A and corporate transactional work as well as large scale commercial contracts, regularly advising clients, both locally and internationally, on investments, shareholder and joint venture arrangements, mergers, corporate demergers, share sales/acquisitions, asset sales/purchases, corporate structuring, regulatory compliance, distribution arrangements and operation & management agreements.

Charlotte is admitted to practise in England and Wales and also registered to practise in Dubai.

Experience

  • Acting for a government owned global investment company on a  long term joint venture with another global investment company regarding the development of certain land in the region, this involved a myriad of corporate structures with a heavily negotiated master agreement and flow through suite of documents.
  • Acting for the seller of a circa AED 200 million share sale of a major food retailer including complex negotiation regarding certain ongoing options for the purchaser and transition arrangements.
  • Acting for the buyer of a USD 190 million asset acquisition from a major bank, involving multi-jurisdictional assets both under civil law and Islamic laws. This included carrying out a full due diligence on the assets, negotiating the APA and preparing various transfer documentation.
  • Acting for the buyer of USD 80 million asset acquisition in the shipping industry with a deferred consideration and extensive security documentation package.
  • Acting for the lender of a EUR 1 million convertible loan note and the resulting conversion and shareholder agreement negotiation.
  •  Acting for the buyer of a GBP 2.5 million human resource company and carrying out extensive dur diligence on the target.
  • Six month secondment with a real estate development, management and investment group that manage some of the largest tourist destinations in the region, assisting the in-house legal team with negotiation of terms for major events, risk management, IT and operations.
