Victoria is a corporate lawyer who has over 30 years’ experience advising the asset management industry, working predominantly in London but also in Hong Kong.

She advises investment funds and their directors on all aspects from set-up, flotation and secondary issues to governance, restructuring and winding-up as well as on financial services and corporate regulatory issues, including major shareholder notifications, short selling and the Alternative Fund Managers Directive (AIFMD). She also advises on the Takeover Code. 

Victoria acts for both listed and unlisted funds, closed-ended and open-ended, corporates and partnerships, onshore and offshore. She also advises asset managers, both in respect of funds and of establishing, acquiring or disposing asset management businesses, and institutional investors.

Much of her work is cross-border with the managers, funds or underlying assets being based worldwide, including in particular the USA, continental Europe, Asia-Pacific and Africa. In the quoted funds arena, she acts for sponsors on occasion as well as for the funds themselves or their managers.

She is a member of the technical committee of the AIC and a member of the City of London Solicitors Company Company Law Committee.

Victoria is admitted to practise in England and Wales.


  • Assisting first time and more established managers on establishing their funds and advising on distribution, including registration, where required, under the AIFMD and exercise of the UCITS and AIFMD passports
  • Acted for AIM quoted India Capital Growth Fund Limited on its 1 for 2 subscription share bonus issue, which has two innovative features;  the company has the right to bring forward the exercise date should the ordinary shares trade at 5% or more of the subscription price for at least 10 trading days and to appoint a trustee for a partial exercise of lapsed subscription share rights
  • Acting for major UK institutional investors and family offices on their investments into high-profile hedge funds and private equity funds, including negotiating side letters
  • Acting for Eden Investment Holding Company Pte Ltd (Eden) on its unconditional mandatory cash offer for the entire issued share capital of Eredene Capital Limited not already owned by Eden and its concert parties
