Sale of majority stake

Advised Clive Christian OBE on his sale of a majority stake in the Clive Christian Group to EME Capital and a consortium of co-investors including Sir Brian Souter, Ann Gloag and Jon Moulton.

Sale of family business shares

Advised the shareholders of Silver Cross, the heritage British high-end baby brand founded in 1877 and famous for its coach-built baby prams, on a sale of the company to Fosun International, China’s leading investment group.

Sale of owner managed business

Advised the shareholders of Option Computers Limited, a leading provider of trade processing and trading services to FX markets through its flagship product, 'DealHub', which uses low latency, high throughput solutions to cover the complete trading lifecycle across all FX business functions.

Growth company acquisition

Advised award-winning IT managed services provider, IT Lab, on the acquisition of Manchester-based IT provider, JMC IT.

Strategic joint venture

The Royal Bournemouth and Christchurch Hospitals on a ground-breaking joint venture with the Quantum Group for the regeneration of the Christchurch Hospital site.

Acquisition of management team

Advised on the acquisition of long term client Countryside Properties, one of the UK's largest privately owned residential developers, by Oaktree, the Cherry family, and the current management team.  The deal saw OCM Luxembourg Coppice Holdco S.á.r.l., a company owned by funds managed by Oaktree Capital Management L.P., the Cherry family and management acquire the entire share capital of Countryside's parent company, Copthorn Holdings Ltd. from Lloyds Bank Commercial Banking, certain Countryside Properties' managers and the Cherry family.

Structured refinancing

Advised established client Caring Homes Group on a transformational corporate structured deal with Griffin-American Healthcare REIT II to dispose of and lease back 44 freehold elderly care properties for a total consideration of £298.5 million, to clear Group bank debt and to secure the provision of up to £75 million in specific development finance.

Public company acquisition

Advised Powerday plc (as lead consortium member) on the acquisition of London Irish Holdings Limited. The transaction was structured as a two-stage acquisition: acquisition of a 52% stake from management followed by a Rule 9 mandatory offer under the Takeover Code to purchase the remaining shares.

Cross-border M&A

Advised NASDAQ listed Advanced Energy Industries Inc., (a global leader in innovative power and control technologies used in thin-film plasma manufacturing processes and solar energy generation) on its acquisition of Hi Tek Power Group (HiTek).
