Advised Geographers’ Map Trustees Limited, the trustee owner of the A-Z maps business, the largest independent map publishing company in the UK, on a reorganisation of its maps business.

Demerger through scheme of arrangement
Advised on the £80 million demerger by PA Consulting of its venture capital business by scheme of arrangement and s.110 reconstruction
Share incentive scheme advice
Co-ordinated all legal and tax advice for a publicly-quoted company on the global roll out of its share incentive plans operating in more than 50 countries, with over 15,000 employees participating worldwide, and on its subsequent demerger.
Transfer of corporate domicile
Advised Centamin plc on the transfer of its corporate domicile from Australia to Jersey. Work involved detailed structuring advice, the listing of Centamin on the Main Market and the coordination of Australian, Canadian, Jersey and US law advisers. The market value of the company on admission was approximately £900 million.
