Main Market listing

Advised Centamin plc on the transfer of its corporate domicile from Australia to Jersey. Work involved detailed structuring advice, the listing of Centamin on the Main Market and the coordination of Australian, Canadian, Jersey and US law advisers. The market value of the company was approximately £900 million post-transaction, and it re-joined the FTSE 250 on admission.


Re-domiciliation of Kryso Resources plc and reconstruction into China Non-Ferrous Metals International limited (BVI) by scheme of arrangement, mine construction agreements, and re-listing in Hong Kong.

Placing and subscriptions

Acted for Mwana Africa plc since its admission to AIM in 2005 including on a subscription for new shares by China International Mining Group Corporation (CIMGC) and placing to raise approximately $32.5 million, and on subsequent fundraisings involving this strategic investor to raise a further $6 million. Mwana's principal operations and exploration activities cover gold, nickel and other base metals, and diamonds in Zimbabwe, the DRC and South Africa.

Open offer to shareholders

Advised Nusantara Energy Plc, an unlisted public company that holds licences to mine coal in Indonesia, on an open offer to shareholders to raise £18.5 million. The offer was underwritten by Ianto Finance Limited and required a Rule 9 whitewash.

Acquisition - Main Market

Advised Yamana Gold Inc on the UK aspects of its acquisition of Extorre Gold Mines Limited (a Canadian gold mining company with international interests, including in Argentina) by way of a plan of arrangement, including the listing of the consideration shares on the London Stock Exchange. The transaction value, net of cash and on a basic shares outstanding basis, was approximately $395 million.

AIM reverse takeover

Advised Stratmin Global Resources Plc, an AIM-listed graphite exploration and production company, on its £25.5 million acquisition of Graphmada Equity Pte Ltd, a related placing of £1.5 million convertible loan notes and readmission to AIM.

Fundraising & advisory

Advising Condor Gold, since its flotation on AIM in 2006, on its fundraisings over time, its original joint venture with local partners in Nicaragua, an abortive hostile takeover approach, and requisition to remove the board, its licences and acquisition of further licences including its key licence at La India.

Corporate advisory

Continuing advice for FTSE100-listed Vedanta Resources including conducting its AGM and other related 'head-office' services. Previously we have advised on a £120 million preference share subscription and disposal of its majority shareholding in Canadian listed Sterlite Gold.
